1. Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Midtide Ltd ("Midtide", "we", "us", "our"), a company registered in England and Wales. By creating an account, subscribing, or using the Midtide platform at midtide.co and related services (together, the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. About the Service
Midtide is a software platform that helps estate agents and property businesses create, manage, and publish multi-language property websites, including property listings, pages, contact forms, analytics, and optional custom domains. We may update, improve, or discontinue features from time to time. Plan limits (such as property counts, custom pages, and premium features) depend on your subscription tier.
3. Eligibility
You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or the business you represent. You must provide accurate registration information and keep it up to date.
4. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at hello@midtide.co if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms or pose a security risk.
5. Subscriptions and billing
Paid features are offered on a per-website subscription basis (Starter, Pro, Agency, or other plans we publish). Subscriptions are billed in advance through Stripe on a recurring monthly basis unless stated otherwise at checkout. Prices, features, and limits are shown on our pricing page and may change for new subscriptions; we will give reasonable notice of material price changes where required by law. Taxes may apply. You authorise us and Stripe to charge your payment method for recurring fees and applicable taxes. Manage or cancel your subscription through the Stripe customer portal linked from your account. Cancellation stops future charges but does not automatically refund amounts already paid except where required by law or explicitly stated. Downgrades or cancellations may reduce available features, limits, or published website access.
6. Free trial
We may offer a free trial for new websites without requiring payment details upfront. Trial websites have limited features and duration as described in the product. When a trial ends, continued use of paid features requires an active subscription. We may modify or withdraw trial offers at any time.
7. Acceptable use
You agree to use the Service lawfully and only for legitimate property marketing and business purposes. You must not: publish false, misleading, or unlawful property information; infringe intellectual property or privacy rights; upload malware or attempt to disrupt the Service; scrape or reverse engineer the platform except as permitted by law; use the Service to send spam or unsolicited marketing in violation of applicable law; or resell the Service without our written consent. You are solely responsible for compliance with estate agency, advertising, and data protection laws that apply to your business and published content.
8. Your content
You retain ownership of content you upload or create (including property details, images, text, and branding). You grant Midtide a worldwide, non-exclusive licence to host, store, reproduce, display, and transmit your content solely to operate, secure, and improve the Service and to fulfil our obligations to you. You represent that you have all rights necessary to use and publish your content through the Service, including photographs and listing data.
9. Midtide intellectual property
Midtide owns the Service, platform software, templates, designs, trademarks, and documentation, except for your content and third-party materials. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service according to your plan.
10. Data protection
Our Privacy Policy explains how Midtide processes personal data when you use the platform. When visitors submit personal data through contact forms or otherwise on websites you publish, you are the data controller for that visitor data and Midtide acts as a data processor hosting and relaying that data on your instructions. You must maintain an accurate privacy policy on your website, respond to data subject requests relating to data you control, and use the Service in compliance with applicable data protection law.
11. Third-party services
The Service integrates with third parties such as Stripe (payments), Google (sign-in and maps), Calendly (optional embeds), email delivery providers, and hosting infrastructure. Your use of those services may be subject to their terms. We are not responsible for third-party services outside our reasonable control.
12. Availability and support
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, updates, or factors outside our control may cause downtime. Support levels depend on your plan. Unless we agree otherwise in writing, the Service is provided without a service-level agreement.
13. Suspension and termination
You may stop using the Service and delete your account at any time, subject to settling outstanding fees. We may suspend or terminate access if you breach these Terms, fail to pay, create legal or security risk, or if we discontinue the Service. On termination, your right to use the Service ends. We may delete account data after a reasonable retention period, except where we must retain data by law.
14. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including fraud or death or personal injury caused by negligence). Subject to that, Midtide shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities. Our total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the fees you paid to Midtide in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
15. Indemnity
You will indemnify and hold harmless Midtide and its directors, employees, and contractors against claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your websites, your breach of these Terms, or your violation of law or third-party rights.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers in jurisdictions with mandatory local protections may also benefit from those protections where applicable.
17. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may also be notified by email or in-product notice where appropriate. Continued use after changes take effect constitutes acceptance of the updated Terms.
